Terms of Service & Disclaimer

1. Acceptance of Terms

By accessing or using Apex Signals (the "Service"), operated from Michigan, United States, you ("User") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to any portion of these Terms, you must not access or use the Service. Continued use after changes constitutes acceptance of the revised Terms.

2. NOT FINANCIAL ADVICE — EDUCATIONAL & INFORMATIONAL ONLY

The Service does not provide financial, investment, tax, legal, or trading advice of any kind.

All strategies, trade ideas, entry points, stop losses, take-profit targets, market analyses, news summaries, and AI-generated content (collectively, "Content") are produced algorithmically by third-party large language models and public market data feeds, and are provided strictly for general educational, informational, and entertainment purposes. The Content is not personalized to your financial situation, risk tolerance, objectives, tax position, or jurisdiction, and is not a recommendation, solicitation, offer, or inducement to buy, sell, hold, or trade any security, derivative, cryptocurrency, perpetual futures contract, or other financial instrument.

Apex Signals is not a registered investment adviser, broker-dealer, commodity trading advisor, futures commission merchant, FINRA member, SEC-registered entity, CFTC-registered entity, or fiduciary, and none of its operators, owners, employees, contractors, or affiliates hold themselves out as such. You acknowledge that no advisory relationship of any kind is created by your use of the Service.

3. EXTREME RISK OF LEVERAGED TRADING

Trading leveraged perpetual futures (including 10x leverage on BTC and other instruments) is extraordinarily risky and can result in the total and rapid loss of all funds and potentially more than your initial deposit.

You expressly acknowledge that: (a) leveraged trading is suitable only for sophisticated persons who can afford complete loss; (b) you may be liquidated within seconds; (c) past performance is not indicative of future results; (d) AI-generated strategies may be inaccurate, stale, conflicting, hallucinated, biased, or based on incomplete or erroneous data; and (e) market conditions, slippage, exchange outages, funding rates, and your own execution can cause outcomes radically different from any Content displayed on the Service.

4. ASSUMPTION OF RISK; YOUR DECISIONS ARE YOUR OWN

You alone are solely responsible for: (a) evaluating the merits and risks of any trade; (b) consulting with a licensed financial advisor, attorney, and tax professional in your jurisdiction before acting on any Content; (c) verifying all information independently; (d) complying with the laws of your jurisdiction; and (e) any and all profits, losses, taxes, fees, liquidations, or other consequences resulting from your trading decisions. You agree that you act entirely at your own risk and on your own independent judgment.

5. NO WARRANTIES

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, Apex Signals expressly disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, reliability, non-infringement, profitability, and uninterrupted or error-free operation. We do not warrant that any strategy will be profitable, that any price feed is accurate, that any AI output is correct, or that the Service will be available at any given time.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APEX SIGNALS, ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, TRADING LOSSES, LIQUIDATIONS, LOSS OF DATA, LOSS OF GOODWILL, OR LOST OPPORTUNITY — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO APEX SIGNALS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply in full to you; in such jurisdictions our liability is limited to the smallest extent permitted by law.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Apex Signals, its owners, operators, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Service; (b) any trade or financial decision you make; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any Content you submit or transmit through the Service.

8. GOVERNING LAW; VENUE; JURY WAIVER

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. You agree that any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue therein. YOU AND APEX SIGNALS EACH IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.

9. BINDING ARBITRATION; CLASS ACTION WAIVER

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, with arbitration conducted in Michigan (or by remote means at the arbitrator's discretion). The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

YOU AGREE THAT ALL DISPUTES WILL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

You may opt out of this arbitration agreement by sending written notice to support@apexsignals.app within thirty (30) days of first accepting these Terms.

10. LIMITATION OF ACTIONS

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose; otherwise, it is permanently barred.

11. SUBSCRIPTIONS, PAYMENTS, AND REFUNDS

Paid subscriptions auto-renew until cancelled. You authorize us (and our payment processor) to charge your payment method on a recurring basis. All fees are non-refundable except where required by law. You may cancel at any time from your Account page; cancellation takes effect at the end of the current billing period.

12. ELIGIBILITY

You represent and warrant that you are at least 18 years of age, legally permitted to use leveraged trading services in your jurisdiction, and not located in any jurisdiction where access to or use of the Service is prohibited.

13. THIRD-PARTY DATA AND AI MODELS

The Service relies on third-party data providers (including, without limitation, Binance, CryptoCompare, news aggregators) and third-party AI providers (including Google, OpenAI, and others). Apex Signals makes no representation or warranty regarding the accuracy, completeness, or timeliness of third-party data or AI output, and disclaims all liability arising therefrom.

14. INTELLECTUAL PROPERTY

All trademarks, logos, software, designs, and content of the Service (other than User-submitted content) are the exclusive property of Apex Signals and its licensors and are protected by U.S. and international intellectual property laws.

15. TERMINATION

We may suspend or terminate your access at any time, with or without cause and with or without notice. All provisions that by their nature should survive termination shall survive, including disclaimers, limitations of liability, indemnification, governing law, arbitration, and jury/class waivers.

16. SEVERABILITY; ENTIRE AGREEMENT

If any provision of these Terms is held invalid or unenforceable, the remainder shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid. These Terms constitute the entire agreement between you and Apex Signals regarding the Service.
